Thermatek Limited - Sales Terms and Conditions
- DEFINITIONS
1.1 “Company” refers to Safeguard Electronic Sytems Limited Trading as Thermatek.
1.2 “Customer” refers to the party purchasing goods or services from the Company.
1.3 “Goods” refers to the heating systems and related products supplied by the Company.
1.4 “Services” refers to any consultancy, design, or installation services provided by the Company.
1.5 “Contract” refers to any agreement for the supply of Goods and/or Services.
1.6 “Warranty Period” refers to the 12-month period from the date of delivery.
- GENERAL CONDITIONS
2.1 All orders are subject to these Terms and Conditions. Any other terms proposed by the Customer shall not apply unless agreed in writing.
2.2 Any quotations issued by the Company are valid for 90 days unless otherwise stated.
2.3 The Customer is responsible for ensuring the suitability of the Goods for their intended application.
- PRICES AND PAYMENT TERMS
3.1 All prices are exclusive of VAT and any applicable taxes or duties unless stated otherwise.
3.2 Payment terms are as follows unless otherwise agreed in writing:
- 50% deposit payable upon order confirmation.
- 40% payable upon notification of dispatch readiness.
- 10% payable within 30 days of final delivery.
3.3 The Company reserves the right to suspend work or delivery if payments are not received as agreed.
3.4 Interest at 8% per annum above the Bank of England base rate may be charged on overdue invoices.
- DELIVERY AND RISK
4.1 Delivery dates are estimates only and time shall not be of the essence.
4.2 The risk in the Goods passes to the Customer upon delivery.
4.3 The Company is not liable for delays caused by circumstances beyond its control, including but not limited to force majeure events. 4.4 The Customer must inspect the Goods upon delivery and notify the Company in writing of any defects or shortages within 7 days.
- INSTALLATION AND INTEGRATION
5.1 If installation is carried out by the Customer or a third party, the Company is not liable for any issues arising from incorrect installation.
5.2 The Customer must follow all installation guidelines provided by the Company.
5.3 For warranty validity, the Customer must provide installation verification, including resistance measurements for each heating wire.
- WARRANTY AND LIABILITY
6.1 The Company provides a 12-month warranty covering defects in materials and workmanship.
6.2 The warranty is void if:
- The system is installed incorrectly.
- The Customer fails to provide installation verification, including resistance data.
- The Goods are modified, misused, or not maintained as per Company guidelines.
6.3 The Company’s liability is limited to repair, replacement, or refund at its sole discretion.
6.4 The Company shall not be liable for indirect or consequential losses, including but not limited to loss of profits or business interruption.
- RETURNS AND CANCELLATIONS
7.1 Custom or bespoke orders cannot be cancelled once manufacturing has begun.
7.2 The Customer may return non-custom Goods within 14 days, subject to a restocking fee of 20%.
7.3 Returned Goods must be unused, in original packaging, and in resaleable condition.
7.4 The Company is not responsible for return shipping costs unless the return is due to a manufacturing defect.
- TITLE AND OWNERSHIP
8.1 The title to the Goods remains with the Company until full payment is received.
8.2 The Customer must store the Goods separately and not sell or modify them until full payment is made.
8.3 If payment is overdue, the Company reserves the right to reclaim the Goods.
- FORCE MAJEURE
9.1 The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, or government regulations.
- GOVERNING LAW AND DISPUTES
10.1 These Terms and Conditions are governed by the laws of England and Wales.
10.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10.3 The parties agree to attempt to resolve disputes through negotiation before pursuing legal action.
- GENERAL PROVISIONS
11.1 No waiver of any term shall be effective unless in writing and signed by an authorised representative.
11.2 If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force and effect.
11.3 The Company reserves the right to amend these Terms at any time with notice to the Customer.
